Item 1 Comment:
The undersigned hereby amends its Schedule 13D as most recently amended on March 16, 2026 relating to the common stock ("Common Stock") of Ultralife Corporation (the "Issuer"). Bradford T. Whitmore, SUNRAY I, LLC, Whitmore Holdings, LLC, Zistar Management, LLC and Bradford Whitmore Trust are collectively referred to in this Amendment No. 11 as the "Filers".
Unless otherwise indicated, all capitalized terms used herein but not defined herein shall have the same meaning as set forth in the Schedule 13D. Except as set forth herein, the Schedule 13D, as previously amended, remains unchanged. | ||

| (a) | This schedule is filed by Bradford T. Whitmore ("Whitmore"), SUNRAY I, LLC, a Delaware limited liability company ("SLLC"), Whitmore Holdings, LLC, a Tennessee limited liability company ("WHLLC"), Zistar Management, LLC, a Tennessee limited liability company ("ZMLLC"), and Bradford Whitmore Trust, a trust formed under the laws of the State of Tennessee ("Whitmore Trust") and, collectively with Whitmore, SLLC, WHLLC and ZMLLC, the "Filers". Whitmore is the sole Trustee of the Whitmore Trust, and the manager of WHLLC and ZMLLC. | |

The Common Stock beneficially owned by the Filers was purchased with working capital. | ||
| Item 4. | Purpose of Transaction | |
WHLLC Purchase of Common Stock
WHLLC purchased, between May 21, 2026 and May 26, 2026, a total of 108,878 shares of Common Stock of the Issuer subsequent to the last amended 13D filing on March 16, 2026.
Distribution and Contribution of Interest in SLLC
On October 27, 2026, WHLLC distributed to the Whitmore Trust the one percent (1%) equity interest in SLLC held by WHLLC. The Whitmore Trust then contributed the one percent (1%) equity interest in SLLC to ZMLLC.
Merger Agreement and Related Transactions
On October 27, 2026, the Issuer entered into an Agreement and Plan of Merger (the "Merger Agreement") with EnerSys, a Delaware corporation ("Parent") and EnerSys Mergersub Inc., a Delaware corporation ("Merger Sub"). The Merger Agreement provides that, subject to the terms of the Merger Agreement, EnerSys Mergersub Inc. will commence a cash tender offer (the "Offer") to purchase all of the outstanding shares of Common Stock of the Issuer, at a price of $16 per share, net to the seller in cash, without interest, subject to applicable withholding taxes and on the terms and subject to the conditions set forth in the Merger Agreement.
The foregoing description of the Merger Agreement and the Offer does not purport to be complete and is qualified in its entirety by reference to the full text of the Merger Agreement, which is attached as Exhibit 2.1 to the Current Report on Form 8-K filed by the Issuer with the Securities and Exchange Commission on October 28, 2026 (the "Form 8-K") and incorporated herein by reference, and the description of the Merger Agreement and the Offer contained in the Form 8-K.
Tender and Support Agreement
In connection with the execution of the Merger Agreement, the Filers, solely in their capacities as stockholders of the Issuer, entered into a Tender and Support Agreement (the "Support Agreement") with Parent, Merger Sub and, solely for purposes of Section 5.4 thereof, the Issuer. The Support Agreement provides, among other things, that each applicable stockholder will tender all of the shares of Common Stock held by such stockholder in the Offer, subject to customary limitations and conditions.
The foregoing description of the Support Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the form of the Support Agreement, which is filed as Exhibit 2.1 to the Form 8-K and incorporated herein by reference. Filers disclaim any status as part of a group with the Acquirer whether under the Merger Agreement or the Support Agreement.
Except to the extent that the foregoing Merger Agreement and the Support Agreement may be deemed to be a plan or a proposal, the Filers have no plans or proposals which relate to, or would result in, any of the matters referred to in Paragraphs (a) through (j), inclusive, of Item 4 of the Schedule 13D. The Filers may, at any time and from time to time, review or reconsider their investment in the Company and formulate plans or proposals with respect thereto, but have no present intention of doing so. | ||
